Terms and Conditions
Effective Date: May 31, 2025
These Terms and Conditions ("Agreement") are entered into by and between Harvest Digital Marketing ("Company," "we," "our," or "us") and the client ("Client," "you," or "your") for the provision of digital marketing services including, but not limited to, website design, SEO services, Google Ads management, and social media strategies.
1. Acceptance of Terms
By using our services, you agree to be bound by this Agreement. If you do not accept these terms, please refrain from using our services.
2. Services Provided
Harvest Digital Marketing offers services such as:

Website design and development

SEO updates and optimization

Google Ads campaign management

Social media strategy and ad management

Custom package building tools
Each project and package will have a separate service agreement outlining the exact scope of work.
3. Payment Terms
Website Design Projects:

50% of the total estimated cost is due after the first draft is delivered.

The remaining 50% is due upon final website launch.
Subscription-Based Services:

All subscription-based services require full payment of the setup fee (if applicable) and the first monthly payment before service begins.

Ongoing monthly fees are billed automatically each month unless canceled.
All payments must be made via the designated payment processor through our website or an official invoice.
4. Cancellations and Refunds
Clients can cancel their subscription services at any time by logging into their account and using the cancellation option.

Cancellations are effective immediately, and you will not be charged for subsequent billing cycles.

We do not offer refunds for partially used service periods or completed deliverables.
5.Client Responsibilities
You agree to provide timely communication, approvals, and all content or credentials necessary to complete the work. Delays caused by the Client may affect timelines and delivery.
6. Revisions and Approvals
Each project includes a defined number of revisions, detailed in your proposal. Additional revisions beyond the agreed scope may incur extra charges.
7. Ownership and Rights
Once full payment has been received:

All final design files and website content will be your property.

We reserve the right to display completed projects in our portfolio unless otherwise agreed.
8. Limitation of Liability
While we apply industry best practices and data-driven strategies, we cannot guarantee specific outcomes such as rankings, traffic increases, conversions, or ROI. Performance on platforms like Google, Meta, or other third-party tools may vary due to frequent algorithm changes and external market conditions outside our control.
We are not liable for any direct or indirect damages arising from the use or inability to use our services. This includes, but is not limited to, loss of business, revenue, or data.
9. Indemnification
You agree to indemnify and hold Harvest Digital Marketing harmless from any claims, losses, damages, liabilities, or expenses (including attorney fees) arising from your content, actions, or misuse of our services.
10. Force Majeure
We are not liable for delays or failures in performance due to causes beyond our reasonable control, including but not limited to acts of God, internet outages, changes in third-party policies, or government regulations.
11. Dispute Resolution
Any disputes arising under this Agreement shall first attempt to be resolved through good faith negotiation. If unsuccessful, disputes will be resolved through mediation or arbitration in the Commonwealth of Pennsylvania.
12. Confidentiality
We agree to keep your confidential information secure and not disclose it to third parties without your permission, except where legally required.
13. Termination
We reserve the right to terminate this Agreement at any time for misuse, violation of terms, or non-payment. All services will cease immediately upon termination.
14. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles.
